Biz List Terms of Service

JOIN BIZ LIST LLC d/b/a Biz List — https://joinbizlist.com

Version 0.3 · Last updated October 15, 2026

Effective Date: October 15, 2026 — Last Updated: October 15, 2026

PLEASE READ THESE TERMS CAREFULLY. THEY LIMIT OUR LIABILITY AND REQUIRE YOU TO DEFEND AND INDEMNIFY US. SECTION 18 REQUIRES BINDING INDIVIDUAL ARBITRATION, WAIVES CLASS ACTIONS AND JURY TRIALS TO THE EXTENT PERMITTED BY LAW, AND LIMITS THE TIME TO BRING A CLAIM. IT INCLUDES A 30-DAY ARBITRATION OPT-OUT RIGHT AND LIMITED COURT EXCEPTIONS. BIZ LIST IS NOT A BUSINESS BROKER, REAL ESTATE BROKER, INVESTMENT ADVISER, BROKER-DEALER, APPRAISER, LENDER, OR LAW OR ACCOUNTING FIRM.

1. Who We Are and What These Terms Cover

These Terms of Service ("Terms") are a binding agreement between you and JOIN BIZ LIST LLC, a Louisiana limited liability company (Louisiana Secretary of State charter no. 47221711K), doing business as Biz List, with its address at 3908 Perrier Street, New Orleans, LA 70115 ("Biz List," "we," "us," or "our"). They govern your use of https://joinbizlist.com and any related apps, tools, emails, and services (together, the "Platform").

By creating an account, checking an "I agree" box, or using the Platform, you agree to these Terms and to our Privacy Policy. If you use the Platform for a company or other entity, you confirm you have authority to bind it, and "you" includes that entity. If you do not agree, do not use the Platform.

Some features have additional terms that also apply when you use them (the "Additional Agreements"), including the Seller Listing / Marketing Authorization Agreement, the Buyer Confidentiality and Non-Circumvention Agreement, the Due Diligence Packet Purchase Terms, and the Valuation Disclaimer. An Additional Agreement controls a conflict for its particular feature, including a lower feature-specific liability cap, but Section 18 of these Terms exclusively governs dispute resolution to the extent the parties are bound by it. No Additional Agreement overrides Section 18 unless Biz List expressly agrees in a signed writing.

2. What Biz List Does — and What It Does Not Do

Biz List is an online information and introduction platform. In plain terms:

Sellers (owners of small businesses) can create a free account, upload their latest business tax return and optional financial statements, review and confirm data we extract, and receive an indicative valuation range.

Sellers may choose to opt in so that we try to introduce them to buyers who have completed our verification process.

Buyers (individuals, family offices, private equity firms, and others) may verify their identity and financial capacity, view anonymized opportunities, request introductions, and purchase AI-generated due diligence packets.

Anyone may use our free financing readiness tool for planning purposes.

Introduction only; no brokerage. Biz List only provides software tools and makes introductions. Biz List does not act as a business broker, real estate broker or agent, M&A adviser, finder for securities, broker-dealer, dealer, investment adviser, agent, transaction intermediary, or representative for any party. We do not solicit or negotiate on anyone's behalf, set or recommend a price, structure deals, draft or review purchase agreements, hold deposits or escrow, arrange financing, or handle closing. Any negotiation, definitive agreement, closing, and transaction happens off the Platform and is solely between the parties and their own lawyers, accountants, lenders, and other advisors. Biz List is not a party to, and assumes no responsibility for performance of, their agreements. Biz List does not guarantee any sale, buyer, financing, price, offer, closing, or deal outcome.

No fiduciary duty. Biz List is not your fiduciary, mandatary (agent), or advisor. No partnership, joint venture, agency, mandate, employment, or fiduciary relationship is created between you and Biz List or between you and any other user by these Terms or by your use of the Platform.

No transaction-based compensation. Our fees are flat fees for software features and information products (for example, a due diligence packet). Biz List does not charge or receive any commission, success fee, or other compensation based on whether a transaction closes, the price, or the amount of any investment.

3. Eligibility and Accounts

You must be at least 18 years old and able to enter into a binding contract. The Platform is for business use, not personal, family, or household use.

You must give accurate, current, and complete information and keep it updated.

You are responsible for keeping your login credentials secure and for all activity on your account. Tell us right away at ryan@joinbizlist.com if you suspect unauthorized use.

One person or entity per account, unless we agree otherwise in writing. You may not create an account for someone else without their authority or impersonate anyone.

To the extent permitted by law, we may refuse, restrict, suspend, or terminate any account or access to any part of the Platform at any time, for any reason or no reason, with or without notice, in our sole discretion, including to comply with law or protect users. Section 20 addresses the effects of termination.

4. Seller Uploads, Data Extraction, and Valuations

Uploads. When you upload a tax return, financial statements, photos, or other materials ("Seller Materials"), you confirm that you are authorized to do so for the business named.

Extraction and AI. We use automated tools, including artificial intelligence and machine-learning services from third-party providers, to read and extract data from your uploads. Extraction can be wrong or incomplete. You must review the extracted data and confirm or correct it. You are responsible for the accuracy of the data you confirm.

Indicative valuation range only. The valuation range is a rough, automated estimate based on limited information, general assumptions, and models. It is NOT an appraisal, a business valuation by a credentialed appraiser, a fairness opinion, an offer, a tax or accounting opinion, or a prediction of what a buyer will pay. It may not be used for tax filings, lending, estate, divorce, litigation, SBA loan, or other official purposes. See the Valuation Disclaimer in Section 8.

5. Seller Opt-In to Matching

Matching is optional and off by default. If you opt in, you must accept the Seller Listing / Marketing Authorization Agreement. That agreement is a one-time authorization: we show an anonymized teaser to verified buyers, and then share your identifying and detailed information with any number of verified buyers who have accepted our Buyer Confidentiality and Non-Circumvention Agreement, without asking you to approve each buyer. You can choose which documents are shareable, keep an exclusion list of people or competitors you don't want contacted, and get notice when a buyer accesses your full details or buys a packet. You can revoke at any time going forward, but revocation does not undo information already disclosed to buyers, who remain bound by their confidentiality agreement.

6. Buyer Verification

To see opportunities, buyers must complete verification, which may include government ID, a bank or lender letter, proof of funds or financing capacity, and financial information such as credit score, net worth, and income. You authorize us and our verification service providers to review and validate this information. "Verified" means only that a buyer completed our process at a point in time. It is not a guarantee of identity, funds, financing, honesty, or ability or willingness to close. Sellers must independently confirm any buyer's ability to close.

7. Financing Readiness Tool

Our free financing readiness tool (including any "SBA-style readiness score") is an educational planning tool. It is NOT a loan application, pre-qualification, pre-approval, credit decision, commitment to lend, or offer of credit. Biz List is not a lender or loan broker. The score does not reflect the judgment of any lender, and lenders, including those participating in U.S. Small Business Administration programs, use their own criteria. Biz List is not affiliated with or endorsed by the U.S. Small Business Administration.

8. Valuation, AI, and Information Disclaimers

Valuations. Valuation ranges are indicative only, may be materially wrong, and are not appraisals. Actual value depends on many factors we do not know or evaluate, such as the condition of assets, contracts, real estate, customer concentration, legal issues, and market conditions.

AI-generated content. Parts of the Platform, including data extraction, summaries, teasers, valuations, readiness scores, and due diligence packets, are produced in whole or part by AI. AI output can contain errors, omissions, outdated information, or statements that sound confident but are false ("hallucinations"). You must not treat AI output as fact without independent checking.

User-provided information. Much of the information on the Platform comes from users. We do not audit, verify, or guarantee it, except for the limited buyer verification steps described above. Users, not Biz List, are responsible for the accuracy, completeness, lawfulness, and currency of the data they provide or confirm. Biz List is not responsible for errors, omissions, misstatements, or fraud in user-provided data, subject to liability that cannot lawfully be excluded.

No professional advice. Nothing on the Platform is legal, tax, accounting, investment, financial, lending, or appraisal advice. Consult your own qualified advisors.

Your decisions; no reliance. Valuations and AI-generated due diligence packets are estimates and informational starting points only, not appraisals or substitutes for independent diligence. You must not rely on them, or on any Platform content, as the basis for any financial, investment, legal, tax, accounting, pricing, lending, or transaction decision. You must independently verify material information with qualified advisors. You alone are responsible for deciding whether to sell, buy, invest, lend, or borrow, and on what terms. Any representations or warranties in a definitive agreement between users bind only its parties, not Biz List.

9. Your Representations and Promises

You represent and promise that:

all information you provide is true, accurate, and not misleading, and you will update it if it changes;

you have the right and authority to upload and share the materials you provide, including any tax returns, financial statements, and photos, and doing so does not violate any law, contract, confidentiality duty, or third party's rights;

if you are a seller, you are an owner or authorized representative of the business and have any consents needed from co-owners, members, partners, or spouses;

if you are a buyer, you are acting for yourself or an entity you are authorized to represent, and your verification documents are genuine;

you will comply with all applicable laws, including securities, licensing, privacy, anti-money-laundering, sanctions, and anti-discrimination laws;

you are not on any U.S. government sanctions or restricted-party list and are not acting for anyone who is; and

you will follow every confidentiality and non-circumvention agreement you accept on the Platform.

10. Acceptable Use

You will not: (a) scrape, copy, or bulk-download Platform data; (b) reverse engineer or interfere with the Platform or its security; (c) upload malware or false, forged, or stolen documents; (d) use the Platform to spam, harass, or defraud anyone; (e) contact a seller or buyer outside the Platform except as allowed by the applicable Additional Agreement; (f) use the Platform to offer or sell securities in violation of law; (g) share your account; or (h) use Platform content to train AI models or build a competing service.

11. Fees and Payment

Core seller features are free. Some features, such as due diligence packets, require payment of the fees shown at checkout and are governed by the Due Diligence Packet Purchase Terms. Payments are processed by our payment processor. Prices are in U.S. dollars and exclude applicable taxes unless stated. We may change prices going forward with notice; changes do not affect completed purchases.

12. Your Content and Our License

You keep ownership of the content you upload ("Your Content"). You give Biz List a non-exclusive, worldwide, royalty-free license to host, store, copy, process, analyze (including with AI service providers acting on our behalf), display, and share Your Content only as needed to operate and improve the Platform, as described in these Terms, the Additional Agreements, and our Privacy Policy. We will not use identifiable tax return data to train third-party AI models. We may create and use de-identified, aggregated data that does not identify you or your business.

13. Our Intellectual Property

The Platform, including software, design, models, text, and the Biz List name and logos, belongs to Biz List or its licensors. We give you a limited, revocable, non-transferable right to use the Platform under these Terms. Feedback you give us may be used freely without obligation to you.

14. Third-Party Services and Other Users

The Platform relies on third-party services (for example hosting, storage, AI, identity verification, and payments) and may link to third-party sites. We are not responsible for third parties or for other users' conduct, statements, or transactions. Disputes between users are between those users.

15. Disclaimer of Warranties

TO THE FULLEST EXTENT ALLOWED BY LAW, THE PLATFORM AND ALL CONTENT, VALUATIONS, SCORES, AND PACKETS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND ANY WARRANTY AGAINST REDHIBITORY DEFECTS UNDER LOUISIANA CIVIL CODE ARTICLES 2520 ET SEQ., TO THE EXTENT APPLICABLE. WE DO NOT PROMISE THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY MATCH OR TRANSACTION WILL OCCUR.

16. Limitation of Liability

TO THE FULLEST EXTENT ALLOWED BY LAW: (A) BIZ LIST AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DEALS, LOST DATA, LOST GOODWILL, OR LOSS OF BUSINESS VALUE, ARISING FROM OR RELATED TO THE PLATFORM, ANY VALUATION OR AI OUTPUT, ANY INTRODUCTION, OR ANY TRANSACTION OR DEALINGS BETWEEN USERS; AND (B) THE COMBINED TOTAL AGGREGATE LIABILITY OF BIZ LIST AND ALL SUCH PROTECTED PARTIES FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF THE FEES YOU PAID TO BIZ LIST IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITS APPLY REGARDLESS OF THE LEGAL THEORY, WHETHER CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR OTHERWISE, EVEN IF THE DAMAGES WERE FORESEEABLE OR WE WERE ADVISED OF THEIR POSSIBILITY, AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. A LOWER FEATURE-SPECIFIC CAP IN AN ADDITIONAL AGREEMENT REMAINS EFFECTIVE AND DOES NOT INCREASE THIS AGGREGATE CAP.

Nothing in these Terms excludes or limits liability that cannot be limited by law, including, under Louisiana Civil Code article 2004, liability for intentional or gross fault or for physical injury.

17. Indemnity

To the fullest extent permitted by law, you will defend, indemnify, and hold harmless Biz List and its members, managers, officers, employees, contractors, and agents from any claims (including third-party claims), demands, proceedings, losses, damages, liabilities, penalties, and expenses (including reasonable attorneys' fees and defense costs) arising from: (a) Your Content or any information you provide or confirm; (b) your breach of these Terms or any Additional Agreement, including a breach by anyone for whom you are responsible; (c) your violation of law or third-party rights; or (d) any transaction, negotiation, or dealing between you and another user. At our option, we may assume exclusive control of the defense with counsel of our choice at your reasonable expense, without limiting your obligations, and you will cooperate. You may not settle a claim in a way that admits fault by, imposes an obligation on, or restricts any indemnified party without our prior written consent. We will give reasonably prompt notice of a claim; delay relieves your obligations only to the extent it materially prejudices the defense. This section does not require indemnification to the extent prohibited by law, including for an indemnified party's intentional or gross fault or other non-waivable liability.

18. Dispute Resolution — Binding Individual Arbitration; Class Action and Jury Trial Waivers

18.1 Agreement to arbitrate. Except as provided in this Section 18, you and Biz List agree that any dispute or claim arising out of or relating to the Platform, these Terms, an Additional Agreement, or your relationship with Biz List, whether based in contract, tort, statute, or otherwise, will be resolved exclusively by final, binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules then in effect, before a single neutral arbitrator. The legal seat of arbitration is New Orleans, Louisiana. The Federal Arbitration Act, 9 U.S.C. §§ 1–16, governs the interpretation and enforcement of this arbitration agreement. Judgment on the award may be entered in any court having jurisdiction. AAA rules and filing information are available at www.adr.org. If applicable law or AAA requires its Consumer Arbitration Rules or other mandatory consumer protections, those requirements control over a conflicting provision, including as to fees and hearing location. Hearings may be remote or held elsewhere when required by those rules or law, without changing the legal seat unless mandatory law requires it. The arbitrator may award relief available under applicable law on an individual basis, subject to lawful limitations in these Terms.

18.2 Mandatory informal dispute notice. Before either party starts arbitration, the claimant must give the other party written notice describing the dispute, its factual basis, the relief requested, and the claimant's name and contact information, and allow thirty (30) days after receipt for a good-faith attempt to resolve it informally. You must send your notice to ryan@joinbizlist.com. Biz List will send its notice to the email address associated with your account or another address you have provided for notices. Arbitration may begin only after that 30-day period expires without resolution. Applicable filing deadlines are tolled during this required informal-resolution period. This requirement does not delay an eligible small-claims action or a request for injunctive relief permitted by Section 18.3.

18.3 Court exceptions. Either party may bring an individual claim in a small-claims court of competent jurisdiction if the claim qualifies and remains in that court. Either party may also seek temporary, preliminary, or permanent injunctive relief in a court of competent jurisdiction for actual or threatened infringement or misappropriation of intellectual property or breach of confidentiality. Seeking that relief does not waive arbitration of other claims or issues. Court proceedings are subject to Section 19, except where mandatory law or the applicable small-claims court's jurisdiction requires otherwise.

18.4 CLASS ACTION WAIVER. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND BIZ LIST MAY BRING CLAIMS AGAINST EACH OTHER ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. NO ARBITRATOR MAY CONDUCT CLASS ARBITRATION, CONSOLIDATE DIFFERENT PERSONS' CLAIMS, OR AWARD RELIEF FOR ANYONE OTHER THAN AN INDIVIDUAL PARTY. THIS WAIVER APPLIES IN ARBITRATION AND IN COURT, SUBJECT TO SECTION 18.8, AND DOES NOT WAIVE ANY REMEDY OR RIGHT THAT CANNOT LAWFULLY BE WAIVED.

18.5 JURY TRIAL WAIVER. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND BIZ LIST KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A JURY TRIAL IN ANY COURT PROCEEDING ARISING OUT OF OR RELATING TO THE PLATFORM, THESE TERMS, OR AN ADDITIONAL AGREEMENT. THIS DOES NOT WAIVE A JURY RIGHT THAT APPLICABLE LAW DOES NOT ALLOW THE PARTIES TO WAIVE.

18.6 One-year deadline to bring claims. To the fullest extent permitted by law, any claim arising out of or relating to the Platform, these Terms, or an Additional Agreement must be brought within one (1) year after it arises, or it is permanently barred. This applies whether the claim is brought in arbitration or court and to claims by either party. It is subject to the tolling in Section 18.2 and does not shorten a statutory period that applicable law does not permit the parties to shorten.

18.7 Thirty-day arbitration opt-out. You may opt out of the arbitration agreement by emailing ryan@joinbizlist.com within thirty (30) days of first accepting these Terms. For an existing user who had not previously agreed to this arbitration agreement, that period runs from first accepting the Terms containing this arbitration agreement. Include your full name, account email address, and a clear statement that you opt out of arbitration. A timely opt-out removes only the obligation to arbitrate; the remaining Terms, including the class action and jury trial waivers to the extent lawful, remain in effect. Opting out does not affect your ability to use the Platform. If you do not timely opt out, you and Biz List are bound by this arbitration agreement, subject to applicable law.

18.8 Severability; no class arbitration. A court of competent jurisdiction, not the arbitrator, decides disputes about the formation or enforceability of this arbitration agreement and the class action waiver. If the class action waiver is found unenforceable as to a particular claim, the arbitration agreement is void as to that claim, and that class claim may proceed only in court, not in arbitration. The parties do not consent to class arbitration under any circumstances. Other claims remain subject to individual arbitration to the extent permitted by law. Except for this specific class-waiver rule, an invalid provision of this Section 18 will be severed to the extent possible and the remainder enforced. This Section 18 survives termination or account closure.

19. Governing Law and Venue

These Terms are governed by the laws of the State of Louisiana, without regard to conflict-of-law rules, and by applicable federal law; the Federal Arbitration Act governs the arbitration agreement in Section 18. Subject to Section 18 and mandatory law, the exclusive venue for non-arbitrable matters and other permitted court proceedings is the state courts located in Orleans Parish, Louisiana, including the Civil District Court for the Parish of Orleans, or the United States District Court for the Eastern District of Louisiana sitting in New Orleans. You and Biz List consent to personal jurisdiction there and waive objections based on inconvenient forum to the extent permitted by law. The small-claims exception in Section 18.3 remains effective.

20. Termination

You may close your account at any time. To the extent permitted by law, Biz List may suspend, restrict, or terminate your account or access, remove content or listings, or discontinue any part of the Platform at any time, for any reason or no reason, with or without notice, in its sole discretion. Termination does not release accrued payment or other obligations or undo prior authorized disclosures. It does not alter refund rights expressly provided in the Packet Terms or non-waivable rights under law. Sections that by their nature should survive, including Sections 2, 8, 9, 11–19, and 22–24, and all accrued payment, indemnity, confidentiality, and non-circumvention obligations, survive termination for their applicable periods.

21. Changes to These Terms

We may modify these Terms from time to time. We will post the revised Terms with an updated "Last Updated" date and, for material changes, give reasonable notice (for example by email or in-app notice). Except where applicable law requires express consent, your continued use after the effective date of the changes means you accept the revised Terms. Changes apply prospectively; a change to Section 18 does not apply to a dispute already pending without both parties' express written agreement. If you do not agree, stop using the Platform.

22. Electronic Communications and Signatures

You agree to receive notices and agreements electronically and agree that clicking "I agree," checking a box, or similar actions are your electronic signature and have the same effect as a handwritten signature under the Louisiana Uniform Electronic Transactions Act (La. R.S. 9:2601 et seq.) and the federal E-SIGN Act. You may request a copy of any agreement you accepted at ryan@joinbizlist.com.

23. General

Entire agreement; severability; no waiver. These Terms, the Additional Agreements, and the Privacy Policy are the entire agreement between you and Biz List about the Platform and supersede prior or contemporaneous communications and understandings on that subject. Subject to the specific class-waiver severability rule in Section 18.8, if a provision is unenforceable, the remainder remains effective and the provision will be enforced to the fullest extent allowed. No delay, failure to enforce, or partial exercise of a right is a waiver; a waiver must be in writing by Biz List and applies only to the stated instance. Headings are for convenience only.

Assignment. You may not assign or transfer these Terms or any rights or obligations under them without Biz List's prior written consent; an attempted unauthorized assignment is void to the extent permitted by law. Biz List may freely assign or transfer these Terms and any rights or obligations, in whole or in part, at any time without your consent. These Terms bind and benefit the parties and their permitted successors and assigns. The protected parties identified in Sections 16 and 17 are intended third-party beneficiaries of those protections and Section 18 and may enforce them.

Force majeure. To the extent permitted by law, Biz List is not liable for failure or delay caused by events beyond its reasonable control, including natural disasters, storms, fire, war, civil unrest, labor disruptions, epidemics, government actions, power or telecommunications outages, cyberattacks, or failures of third-party providers beyond its reasonable control. Performance is excused only to the extent and for the duration affected. This provision does not waive non-waivable rights or excuse payment obligations for services already provided.
